Welcome to Magilyx.com. These Terms of Service ("Terms") govern your access to and use of the Magilyx.com website and any related services, features, content, or applications offered by Magilyx.com (collectively, the "Service"). Please read these Terms carefully.
By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use Magilyx.com. These Terms constitute a legally binding agreement between you and Magilyx.com.

Magilyx.com provides a curated collection of free, web-based utilities and tools ("Tools") designed for personal, educational, and professional use. These Tools may include, but are not limited to, converters, calculators, generators, and formatters. Magilyx.com reserves the right to modify, suspend, or discontinue any Tool or the entire Service at any time, for any reason, without prior notice. We do not guarantee the availability, accuracy, or completeness of any Tool or its output. All Tools are provided on an "as-is" and "as-available" basis.
3. User Obligations and Conduct
You agree to use Magilyx.com only for lawful purposes and in accordance with these Terms. You are solely responsible for any data, information, or content you input, upload, or process through the Service ("User Content"). You agree not to:
a) Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
b) Exploit the Service for any commercial purpose, including resale or redistribution of Tool outputs, without express written permission.
c) Transmit any material that is defamatory, obscene, invasive of privacy, or otherwise objectionable.
d) Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running Magilyx.com.
e) Use any robot, spider, scraper, or other automated means to access Magilyx.com for any purpose without our express written permission.
f) Take any action that imposes, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure.
g) Upload or transmit viruses, Trojan horses, or any other malicious code or activity.
4. Intellectual Property Rights
The Service, including but not limited to the Magilyx.com website, its original content, features, functionality, layout, design, and the selection and arrangement thereof, are owned by Magilyx.com and its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The "Magilyx" name and logo are trademarks of Magilyx.com. You may not use these marks without prior written permission.
You retain any intellectual property rights you hold in the User Content you submit. However, by submitting User Content, you grant Magilyx.com a worldwide, non-exclusive, royalty-free license to use, process, and display that User Content solely for the purpose of providing the Service to you. The output generated by the Tools based on your User Content belongs to you, provided you have the right to the underlying input.
5. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Magilyx.com, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
Your sole and exclusive remedy for dissatisfaction with Magilyx.com is to stop using the Service. The aggregate liability of Magilyx.com to you for all claims arising out of or relating to the use of or any inability to use any portion of the Service is limited to one hundred U.S. dollars (USD $100).
6. Disclaimer of Warranties
YOUR USE OF MAGILYX.COM AND ITS TOOLS IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MAGILYX.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Magilyx.com makes no warranty that (i) the Service will meet your requirements or expectations, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate, reliable, or complete, and (iv) the quality of any products, services, information, or other material obtained by you through the Service will meet your expectations. No advice or information, whether oral or written, obtained by you from Magilyx.com shall create any warranty not expressly stated in these Terms.
7. Indemnification
You agree to defend, indemnify, and hold harmless Magilyx.com, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from Magilyx.com.
8. Termination
We may terminate or suspend your access to Magilyx.com immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in New York County, New York, for any dispute arising out of or relating to these Terms or your use of Magilyx.com.
10. Changes to Terms
Magilyx.com reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
